International Agency & Transaction Facilitation

Overview

We act as commercial agents and strategic facilitators for cross-border sales and complex transaction chains. Leveraging deep industry relationships, logistical expertise, and transactional experience, we coordinate the end-to-end process required to place goods and services in foreign markets on behalf of principals, distributors, and institutional buyers. Our mandate is facilitation — aligning counterparties, mitigating transactional friction, and delivering commercially viable outcomes while ensuring regulatory and contractual rigor.


Sample Scopes of Representation

Our agency services encompass, without limitation:


  • Industrial Lighting: Project and specification sales for commercial, industrial and institutional installations, including tender management and certification coordination.
     
  • Decorative Residential Lighting: Channel development, distributor introductions, and retail/installer onboarding for decorative product lines.
     
  • Emergency Batt.ery Supplies: Sourcing and logistics for critical-supply batteries, emergency power systems, and compliance with safety and transport regulations.
     
  • Firearms and Defence-Grade Equipment: Facilitation of fully regulated and compliant sales to authorised end users — government entities, law-enforcement agencies, and licensed retainers — and strictly subject to all applicable export/import permits, end-user certifications, and national and international arms-control rules.
     

In every sector we serve, our role is to present commercial opportunities, organise diligence and vetting, negotiate commercial terms, and oversee execution through to delivery and acceptance.


Transaction Facilitation Services

We provide an integrated suite of facilitation services tailored to complex international deals:


  • Counterparty Identification & Vetting: Sourcing potential buyers, partners and distributors; performing commercially prudent due diligence and KYC-style vetting (fact-finding, reputational screening, and trade references).
     
  • Commercial Negotiation Support: Structuring commercial terms, payment mechanics, pricing schedules, and performance obligations in concert with principals and their advisers.
     
  • Contract Coordination: Preparing and coordinating standard transactional documentation (agency agreements, sale/purchase agreements, NDAs, master supply agreements) in collaboration with independent counsel and local advisers.
     
  • Escrow & Payment Flows: Designing secure payment arrangements (escrow, documentary collections, letters of credit) aligned with counterparty risk appetite and delivery milestones.
     
  • Logistics & Customs Management: Orchestrating shipping, freight forwarding, customs clearance, and destination handling; ensuring goods are transported under appropriate terms (Incoterms) and with required documentation.
     
  • Regulatory & Permit Facilitation: Engaging with local regulatory bodies and licensing agents to support the procurement of import/export permits, certifications and end-user documentation where required.
     
  • Inspection, Testing & Acceptance: Coordinating pre-shipment inspection, third-party testing, and post-delivery acceptance to protect principals and buyers alike.
     
  • After-Sales & Warranty Coordination: Managing warranty claims, spare-parts supply, and service escalation channels to preserve commercial relationships and product reputation.


Compliance, Export Controls & Restricted Goods

Cross-border trade in regulated goods requires deliberate and documented compliance. For transactions involving restricted categories (notably defence-related items and certain battery technologies), we:


  • Require verifiable end-user certificates, governmental permits, and applicable licences prior to advancing negotiations.
     
  • Coordinate with independent legal and licensing specialists in both origin and destination jurisdictions to ensure that each transaction complies with export controls, sanctions, and national procurement rules.
     
  • Decline to facilitate transactions that, in our reasonable commercial judgement, pose undue regulatory, reputational, or sanctions risk.
     

With respect to firearms and defence-grade equipment, our role is strictly facilitative: we do not supply or sell arms directly to private individuals or unauthorised entities, and we will only progress matters where appropriate governmental authorisations, end-user documentation, and export/import clearances are in place or obtainable.


Risk Management & Insurance

We assist clients in identifying and allocating commercial, political and logistic risks through contractual mechanisms and insurance placement. This includes advising on cargo insurance, credit insurance, performance bonds, and the use of staged performance milestones to limit exposure. Where appropriate we liaise with specialist insurers and risk advisers to secure tailored coverage for high-value or sensitive shipments. 


Commercial Terms & Fee Structure

Our engagements are structured to reflect the complexity and risk profile of each mandate. Typical commercial arrangements include: success-based agency commissions, fixed retainer plus milestone fees, or bespoke fee schedules for multi-phase projects. Fee terms are always set out in a written engagement letter and agreed prior to substantive work.

We understand the commercial sensitivity of transactional information. Subject to the nature of the engagement, we operate under strict confidentiality protocols and can enter into bespoke nondisclosure arrangements to govern the handling, retention, and permitted use of all proprietary or customer data.
